AOL Says Dell Ruling Gives It a Leg Up In Appraisal Case

Law360, Wilmington (January 25, 2018, 10:17 PM EST) -- AOL told the Delaware Chancery Court, in a brief made public Thursday, that the state Supreme Court’s recent ruling in the Dell appraisal case “entirely undermines” shareholders’ contention in its own appraisal proceedings that the $4.4 billion merger with Verizon was undervalued.

The briefing came at the request of Vice Chancellor Sam Glasscock III, who’d wanted submissions from the sides in AOL’s appraisal case, which went to trial in March, on the impact of the Delaware Supreme Court’s Dell ruling before making a decision.
