Novelis Transfer Infringed Software License: 6th Circ.

Law360, New York (September 25, 2009, 6:11 PM EDT) -- A federal appeals court ruled Friday that Novelis Corp. was liable for copyright infringement for transferring a Cincom Systems Inc. software license through a corporate restructuring, clarifying what happens to intellectual property licenses when companies are merged out of existence.

Novelis violated the terms of the parties' contract, despite the fact that the license never wound up in a competitor's hands and the software remained on the licensed computers, according to a unanimous opinion in the U.S. Court of Appeals for the Sixth Circuit.
