BioScrip Snags Critical Homecare For $343M

Law360, New York (January 25, 2010, 1:04 PM EST) -- Pharmaceutical services firm BioScrip Inc. has agreed to a $343 million cash and stock deal to buy Critical Homecare Solutions Inc., a provider of home infusion and home health agency services.

The deal, announced Monday, calls for BioScrip to put up $242 million in cash — including $132 million to repay CHS debt, and the issuance of $101 million of common stock, the company said. BioScrip will also offer 3.40 million warrants with a $10 exercise price and five-year term to CHS shareholders, it said....
