Dorsey & Whitney Reps Carlisle In $413M Hawk Deal

Law360, New York (October 15, 2010, 3:02 PM EDT) -- Carlisle Cos. Inc. said Friday that it has agreed to purchase Hawk Corp., a supplier of parts to the brake industry, for about $413 million as the North Carolina-based manufacturer looks to expand its braking solutions business.

Charlotte, N.C.-based Carlisle will pay $50 per share in a cash tender offer that is expected to begin later this month, which will be followed “as soon as possible” by a merger, the companies said in a joint statement.
