$413M Carlisle-Hawk Deal Stiffs Shareholders: Suit

Law360, New York (October 26, 2010, 7:25 PM EDT) -- A Hawk Corp. shareholder has filed a putative class action challenging the company's acquisition by manufacturer Carlisle Cos. Inc., claiming the $413 million purchase price overlooks the company's strong prospects for growth at the close of the recession.

Timothy B. Hardy called the purchase price and the method of the acquisition “fundamentally unfair” in a complaint filed Tuesday in the Delaware Chancery Court by Blake A. Bennett of Cooch & Taylor PA and Shane Rowley and Juan E. Monteverde of Faruqi & Faruqi LLP.
