ISS' Updated Proxy Voting Recommendation Policies

Law360 (January 25, 2011, 2:36 PM EST) -- On Nov. 19, 2010, Institutional Shareholder Services Inc. (ISS) published updated policies for determining its proxy voting recommendations for shareholder meetings to be held on or after Feb. 1, 2011.

ISS’ policy updates for 2011 are extensive and broad-ranging, covering executive compensation, elections and voting, authorized capital stock and reverse stock splits, and governance policies for foreign issuers. Specifically, public companies and their shareholders should take note of the following:
