W.Va. High Court Sidesteps Alpha-Massey Deal Challenge

Law360, New York (May 31, 2011, 1:53 PM EDT) -- Citing a lack of jurisdiction and a Delaware court's superior expertise in a similar case, West Virginia's highest court refused to block Alpha Natural Resources Inc.'s $7.1 billion purchase of Massey Energy Co. on Tuesday ahead of a Wednesday shareholder vote.

Ruling after a holiday weekend of deliberations, three of the court's five justices who were able to hear the case refused to grant injunctive relief to shareholder derivative plaintiffs — including the California State Teachers' Retirement System — who accuse Massey of disregarding safety regulations,...
