Novellus, Lam Settle Investor Suits Over $3B Merger Plan

Law360, New York (May 4, 2012, 7:12 PM EDT) -- Novellus Systems Inc. said in a regulatory filing Friday that it has reached settlements with shareholders who brought federal and state class actions in California over the semiconductor equipment maker's proposed $3.3 billion acquisition by Lam Research Corp.

The parties, including the Louisiana Municipal Police Employees' Retirement System and other shareholders, agreed that Novellus would immediately make some additional disclosures — also included in the regulatory filing — but won't be required to make any payments prior to the completion of the merger, according to the...
