Fried Frank Guides RedPrairie’s $1.9B JDA Software Buy

Law360, New York (November 1, 2012, 1:06 PM EDT) -- Private equity-backed software company RedPrairie Corp. is picking up JDA Software Group Inc. for about $1.9 billion, in a move that will greatly expand its global supply chain and create one of the world’s largest software corporations, the companies announced Thursday.

Per the merger deal, which is expected to close by the end of the year, RedPrairie is offering $45 in cash for each common JDA share, which represents a 33 percent premium to the stock’s close Oct. 26 before rumors about the deal surfaced, according...
