Ex-Universata Director Sues Over $17.5M HealthPort Deal

Law360, Wilmington (September 13, 2013, 4:25 PM EDT) -- An ex-director of medical records company Universata Inc. filed a putative class action in Delaware Chancery Court late Thursday against fellow former board members, claiming they shortchanged shareholders when they agreed to sell the firm in a $17.5 million deal to HealthPort Technologies LLC in 2011.

Former Universata director Aaron Houseman, along with former shareholder Nancy Houseman, allege the other directors breached their fiduciary duties by agreeing to the transaction without properly valuing the company beforehand or trying to shop it to other potential buyers....
