RL Polk Investors Lost $67M In Buyback, Suit Says

Law360, Wilmington (September 25, 2013, 5:31 PM EDT) -- R.L. Polk & Co. Inc. investors who sold shares in response to a buyback offer launched a putative class action Tuesday claiming they missed out on nearly $67 million when the Carfax owner subsequently issued a special dividend and agreed to a buyout at more than three times the tender price.

Filed in Delaware Chancery Court, the complaint claims that R.L. Polk's controlling shareholders breached their fiduciary duties since the 2011 offer to buy back shares at $810 made no mention the company's plans to pay...
