Emageon Gives More Info On $39M Deal To Settle Suit

Law360, New York (March 27, 2009, 12:00 AM EDT) -- Emageon Inc. said Friday that it had provided additional information about a February merger agreement in order to settle a lawsuit brought by a putative class of plaintiffs who accused the health care information technology provider of breach of fiduciary duty.

The company was sued earlier this month in the Superior Court of Suffolk County, Mass., by shareholders who accused members of the company's board of directors of violating their fiduciary duties by failing to maximize value while negotiating a merger agreement with Amicas Inc....
