REPORT AND RECOMMENDATION re: 78 MOTION for Settlement. For the reasons set forth in the attached Report and Recommendation, it is respectfully recommended that Lead Plaintiff's Motionfor Preliminary Settlement Approval be GRANTED, and the following be ORDERED:A. The Court finds on a preliminary basis that the settlement memorialized in the Agreement and filed with the Court falls within the range of reasonableness and meets the requirements for preliminary class settlement approval;B. The Court conditionally certifies, for settlement purposes only, the following Federal Rule of Civil Procedure 23 Class (Class) described in the Agreement: All persons and entities, irrespective of country of residence, who or which purchased or otherwise acquired the publicly traded common stock of Cronos on the NASDAQ, or any other public U.S. market for trading stocks, during the period from May 9, 2019 through March 30, 2020, both dates inclusive, and were allegedly damaged thereby.C. The Court finds, on a preliminary basis for settlement purposes only, that the requirements of Federal Rule of Civil Procedure 23 are satisfied;D. The Court appoints named Plaintiff, Keith D. Norman, for settlement purposes only, as Lead Plaintiff;E. The Court appoints Labaton Sucharow LLP, for settlement purposes only, as Class Counsel;F. The Court appoints A.B. Data Ltd. as Claims Administrator;G. The Court approves the proposed Notice for distribution to Class Members;H. The deadline for Class Members to opt-out of the Settlement or to make objections to the Settlement shall be October 28, 2026; andI. The Court will conduct an in-person Final Approval Hearing on November 19, 2026, at 11:00 AM to determine (a) whether the proposed settlement of the Action on the terms and conditions provided for in the Settlement Agreement is fair, reasonable, and adequate and should be given final approval by the Court; (b) whether a judgment and order of dismissal with prejudice should be entered; (c) whether to approve the Fee Award to Class Counsel; and (d) whether to approve the payment of service awards to the Class Representatives.
A copy of this Report and Recommendation is being electronically served on counsel. Any written objections to this Report and Recommendation must be filed with the Clerk of the Court within fourteen (14) days of service of this Report.
