MINUTE ORDER: On September 19, 2025, Defendant Mortgage Assets Management, LLC, removed this action from D.C. Superior Court to this Court on the basis of diversity jurisdiction under 28 U.S.C. &sect&sect 1332, 1441, and 1446. ECF No. 1 &para&para 4-21. Defendant alleges that it is a citizen of Delaware and Texas because it is a Delaware corporation with its principal place of business in Houston, Texas. Id. &para&para 10-11. But "limited liability companies... carry the citizenship of each of their members," and "[t]he citizenship of the members of an LLC is traced all the way through--that is, when a member of an LLC is itself an LLC, the citizenship of the members of that LLC are relevant for diversity purposes, and so on." Arenivar v. Manganaro Midatlantic, LLC, 317 F. Supp. 3d 362, 367 (D.D.C. 2018) (cleaned up). The notice of removal contains no allegations about Defendant's members or their citizenship. Because jurisdiction "goes to the foundation of the court's power to resolve a case," a court must "address it sua sponte." Doe by Fein v. Dist. of Columbia, 93 F.3d 861, 871 (D.C. Cir. 1996). Therefore, it is hereby ORDERED that Defendant shall file, by October 21, 2026, a certification attesting to the citizenship of Mortgage Assets Management, LLC, "traced through however many layers of partners or members there may be to determine the citizenship of the LLC."
