The Court hereby approves the settlement of this Action on the terms set forth in the Settlement Agreement (Exhibit A), and retains jurisdiction over the Action to ensure compliance with the terms of the Settlement Agreement and to enforce all of the terms and conditions set forth therein. 2. Plaintiff ALCA's claims against the Paragon Defendants, Moore, Venet, Estate of Boghos and Pierre's in this Action are hereby dismissed with prejudice, pursuant to Federal Rule of Civil Procedure 41(a)(2). 3. All Defendants' Counterclaims against ALCA are hereby dismissed with prejudice, pursuant to Federal Rule of Civil Procedure 41(a)(2). 4. All Cross-Claims in the Action are hereby dismissed with prejudice, pursuant to Federal Rule of Civil Procedure 41(a)(2). 5. All Third-Party Complaints in the Action are hereby dismissed with prejudice, pursuant to Federal Rule of Civil Procedure 41(a)(2). 5a.
