Barnes & Noble Says SEC Probing Worker Confidentiality Pact

Law360, New York (September 11, 2015, 1:07 PM EDT) -- Barnes & Noble Inc. on Thursday said the U.S. Securities and Exchange Commission is probing its previous use of employee confidentiality agreements in light of Dodd-Frank Act provisions that bar companies from restricting workers from blowing the whistle to the agency about suspected wrongdoing.

The disclosure, made in a quarterly report to investors, came in addition to a previously announced SEC investigation into the company’s July 29, 2013, earnings restatement and a separate matter involving a former employee’s allegations that the bookseller had improperly allocated information...
