Truss Manufacturer Valued At $143M, Del. Court Finds

Law360 (March 1, 2019, 5:09 PM EST) -- Houston-based truss manufacturer Trussway Holdings LLC had a valuation of $143 million — or $236.52 per share — at the time of a 2016 merger, a Delaware court ruled Thursday, ending a heated debate over its worth by the company and its former shareholders.

Delaware Court of Chancery Vice Chancellor Sam Glasscock's finding is slightly above what Trussway had suggested and significantly less than the value purported by former minority shareholder Silver Spur Capital Partners LP, which filed the appraisal action following the conversion of Trussway Holdings Inc. into a limited liability company about two years ago.
