Wyeth, Pfizer Resolve Investor Suits Over Merger

Law360, New York (August 6, 2009, 8:54 PM EDT) -- Wyeth Inc. and Pfizer Inc. have reached a deal to settle several shareholder lawsuits seeking to block the $68 billion merger between the pharmaceutical giants.

In a filing Thursday with the U.S. Securities and Exchange Commission, Wyeth disclosed that on June 10 it and Pfizer had reached a memorandum of understanding with the plaintiffs in the case in the Delaware Court of Chancery.

Under the terms of the deal, the companies will include additional disclosures in the proxy statement for the merger, the filing said....
