Dell Settlement Gets OK In Shareholder Derivative Suit

Law360, New York (September 29, 2009, 1:26 PM EDT) -- Computer giant Dell Inc. has secured preliminary approval from a Texas state court of a settlement reached in shareholder derivative litigation against the company, in which Dell agrees to put in place corporate governance changes and other remedial measures.

In settlement documents filed with the U.S. Securities and Exchange Commission late Monday, Dell says if the settlement is approved, each of the agreed-to measures will remain in place for at least four years unless a majority of the company's board of directors votes otherwise. The settlement...
