Sybase Shareholder Takes Issue With $6B SAP Merger

Law360, New York (May 18, 2010, 7:00 PM EDT) -- A Sybase Inc. shareholder has lodged a proposed class action that seeks to block or modify a $5.8 billion merger between the database software company and business management software maker SAP AG.

The suit, filed Monday in the U.S. District Court for the Northern District of California, alleges that both the $65 per share offer and the process for consummating the merger are fundamentally unfair to Sybase's shareholders and grossly inadequate.
