AGA Medical Investor Sues Over $1.3B St. Jude Deal

Law360, New York (October 28, 2010, 7:06 PM EDT) -- A shareholder of AGA Medical Holdings Inc. has filed a putative class action in an effort to block a $1.3 billion merger offer from St. Jude Medical Inc., saying the terms of the deal prevented AGA from seeking out better offers.

Plaintiff Jennifer Walling filed suit Thursday in the Court of Chancery of the State of Delaware against St. Jude, AGA's board of directors and others on behalf of all AGA shareholders, alleging breaches of fiduciary duty and failure to disclose material information.
