Addressing Multiforum Deal Litigation

Law360, New York (May 2, 2011, 1:21 PM EDT) -- Multiforum state litigation is becoming more common in cases challenging the fairness of mergers and acquisitions. Delaware may still be the primary jurisdiction for such cases, as it is the favorite state of incorporation. Where corporations, however, have their principal places of business outside of Delaware, it is increasingly the case that those jurisdictions will also entertain claims arising from corporate transactions.
