Suit Over Cerberus-Affiliate Merger Resolved

Law360 (September 21, 2007, 12:00 AM EDT) -- United Rentals Inc. disclosed Wednesday that it has agreed to settle a shareholder lawsuit that sought to block its $6.6 billion merger with Cerberus Capital Management LP.

In a filing with the U.S. Securities and Exchange Commission, United Rentals said it would make certain revisions to its proxy statement and also pay attorneys' fees and expenses. In return, the shareholders will dismiss all merger-related claims against the Greenwich, Conn.-based equipment rental company.

The agreement is still subject to the approval of the Connecticut Superior Court....
