Allscripts Claims Investors Mistook 'Puffery' For Facts

Law360, New York (March 15, 2013, 7:44 PM EDT) -- Allscripts Healthcare Solutions Inc. asked an Illinois federal judge Thursday to dismiss a proposed shareholder class action against the health software maker, arguing that supposedly misleading claims about the company’s health following a 2010 merger were “unspecific puffery” meant to be taken with a grain of salt.

Many of the allegedly deceptive pronouncements by executives of the health record management software company following its botched 2010 merger with Eclipsys Corp. consisted of "immaterial optimism" and "vague aspiration" accompanied by cautionary statements, Allscripts said.
