Chevron, FedEx To Defend 'Only In Delaware' Bylaws

Law360, New York (April 9, 2013, 7:17 PM EDT) -- Chevron Corp. and FedEx Corp. on Wednesday will ask the Delaware Chancery Court to answer a question on the minds of deal makers and litigators on both sides of the shareholder bar: Can a company choose where it gets sued?

In parallel cases, the two companies — represented by former Delaware Chancellor William Chandler III, now of Wilson Sonsini Goodrich & Rosati PC, among others — will defend new bylaws that set the Chancery Court as the exclusive forum for stockholder suits.
