Activist Demands Men's Wearhouse To Rethink $2.3B Buyout

Law360, New York (November 20, 2013, 3:11 PM EST) -- Activist hedge fund Eminence Capital LLC on Wednesday called for a special meeting of shareholders of Men's Wearhouse Inc. after the retailer spurned a $2.3 billion private equity-backed offer from Jos. A. Bank Clothiers Inc.

New York-based Eminence, the single-largest Men's Wearhouse investor with a 9.8 percent stake, asked the U.S. Securities and Exchange Commission to convene an investor summit. The fund threatened last week to force a board shakeup after the Texas company again shrugged off the merger proposal from its smaller rival.
