Matthews International Pays $577M For Branding Rival SGK

Law360, Washington (March 17, 2014, 8:27 PM EDT) -- Brand management and memorial services company Matthews International Corp. has inked a $577 million deal to acquire rival Schawk Inc., also known as SGK, creating a “global leader” in branding solutions, it announced Monday.

Under the terms of the deal, Pittsburgh-based MIC will provide $11.80 cash and just over 0.2 shares in its common stock for each share of Des Plaines, Ill.-based SGK. This represents an implied price of $20 per SGK share, MIC said, a premium of nearly 36 percent on its closing price Friday....
