JP Morgan, Shareholders Work Out Cash-Free Deal

Law360 (July 11, 2008, 12:00 AM EDT) -- Shareholders suing JP Morgan Chase & Co. over its 2004 merger with Bank One Corp. have agreed to a settlement in their multidistrict lawsuit that calls for the implementation of corporate governance reforms but no monetary recovery.

The two sides filed a joint motion seeking preliminary approval of the deal Monday in the U.S. District Court for the Northern District of Illinois, additionally requesting class certification for settlement purposes and the scheduling of a final hearing in October.
