Encore Medical Shareholders Target $870M Merger

Law360, New York (July 19, 2006, 12:00 AM EDT) -- Shareholders for Encore Medical Corp. are crying foul with a class action lawsuit after executives penned an $870 million deal to sell the medical implant company to private investment fund Blackstone Capital Partners V LP.

The lawsuit says that insiders at both companies are poised to benefit from preferential treatment through "the sale of Encore to Blackstone Capital Partners VLP at a grossly inadequate and unfair price."
